A parish's Corporate Board of Directors is the decision making body of the parish's fiscal and civil matters as a corporate entity.
These matters include approval of budgets, annual reports, sale or acquisition of property, investments or acquiring debt, and compliance with the Arizona Corporate Commissions reporting requirements.
A Corporate Board of Directors is different from a parish's Pastoral Council, Finance Council, and Administrative Staff, which are all advisory in nature to the pastor.

Canon 537 of the revised Code requires a finance council in each parish, subject to special norms established by the diocesan Bishop and composed of members of the parish selected according to those norms. The task of the finance council is to assist the pastor in administration of the property and finances of the parish.
The importance of an active, informed council cannot be overemphasized. The active informed council would hold to the mission of the parish, protect the integrity of pastoral objectives, establish adequate council policies and ensure consistent adherence to those policies.
The Council is an advisory body and does not substitute for the pastor as the chief administrator and legal representative of parish matters. The relationship between the pastor and the Council is one of support and collaboration. The establishment of the Parish Finance Council does not lessen the authority of the pastor to act and decide on behalf of the parish as defined by Canon Law.
Members are appointed by the pastor and should include persons knowledgeable in business, finance, law, accounting, insurance, etc. along with persons from the parish-at-large. Members should be active in the parish and knowledgeable in the scope of parish programs and services. Members should not be related to the pastor and/or parish staff.

Nature and Purpose of the Parish Pastoral Council (PPC)
The Parish Pastoral Council is to be a representative body of the faithful whose focus is on the whole community – its beliefs, its hopes, its joys, its needs, its sorrows, its concerns, its gifts and its pursuit of the mission of the Church. The work of the PPC is on mission, not on management. As stewards of Christ’s mission in the parish, the main purpose of the PPC is pastoral planning. The work of the council is governed by diocesan norms and the Code of Canon Law.
The task of the Parish Pastoral Council is to give counsel to the pastor. The PPC is called to reflect and consider pastoral issues for the common good and for the future of the parish. The subsequent recommendations of the PPC may be accomplished by seeking consensus, or when circumstances require, obtaining a majority vote. All decisions are then placed in the hands of the pastor.
